Our View: LIC's OFS Deserves Serious Consideration From Long-Term Investors

The Government of India's Offer for Sale (OFS) in Life Insurance Corporation of India has created an unusual situation.

The government is offering LIC shares with a floor price of ₹382, compared with LIC's pre-OFS closing price of approximately ₹428.50 which came under pressure on announcement.

The discount immediately pushed LIC's market price sharply lower, but investors should not confuse the fall caused by a large discounted share sale with deterioration in LIC's underlying insurance business.

After analysing LIC's FY26 profitability, Embedded Value, Value of New Business, margins, solvency, assets under management and the OFS valuation, our assessment is:

🟢 LONG-TERM INVESTORS: SUBSCRIBE / ACCUMULATE

However, investors looking only for an immediate listing-style gain from the OFS should have more moderate expectations.

What Is The LIC OFS?

The Government of India is reducing part of its holding in LIC through an Offer for Sale.

OFS Floor Price: ₹382 per share
Pre-OFS Closing Price: approximately ₹428.50
Maximum Government Stake Sale: up to 6.5%
Potential Transaction Size: approximately ₹31,400 crore
Government Holding Before OFS: approximately 96.5%
Potential Government Holding After Full OFS: approximately 90%

If the entire stake is sold, LIC's public shareholding would rise to approximately 10%.

This is important because LIC needs to increase its public shareholding to at least 10% by May 2027.

First Understand Why LIC Shares Fell

LIC shares fell sharply after the government announced the OFS. At first glance, a fall of around 9% can look alarming. But the principal reason was straightforward:

Previous Market Price: ~₹428.50

Government OFS Floor: ₹382

Large Price Discount

Secondary-Market Price Adjusts Downward

Therefore, the immediate decline was largely a supply-and-pricing event rather than evidence of a sudden deterioration in LIC's operating fundamentals.

The Most Important Question: Is ₹382 Cheap For LIC?

For a life insurance company, looking only at the conventional P/E ratio can provide an incomplete picture. One of the most important valuation metrics is Embedded Value (EV). LIC reported Indian Embedded Value of approximately:

₹7.89 lakh crore

for FY26. LIC has approximately 632.5 crore shares following its bonus adjustment.

That translates into Embedded Value per share of approximately:

₹125 per share

At the ₹382 OFS floor price, LIC is therefore being offered at approximately:

3.06× Embedded Value

This tells us something important. LIC is not a conventional deep-value stock merely because the OFS price is 11% below the previous market price. The investment case depends on LIC continuing to grow Embedded Value and, importantly, improving the profitability of the new insurance business it writes.

LIC's FY26 Numbers Were Strong

The underlying operating numbers provide the strongest argument for considering the OFS.

Assets Under Management: ₹57,29,396 crore
YoY Growth: +5.08%

Solvency Ratio: 2.35 vs 2.11 previously

These numbers suggest that the fundamental story behind LIC is considerably stronger than the price action caused by the OFS might imply.

The Number We Like Most: VNB Growth Of 42%

For insurance companies, Value of New Business (VNB) is extremely important. It measures the economic value generated by new insurance policies written during the period. LIC's FY26 VNB increased approximately:

41.6%

to approximately ₹14,179 crore.

More importantly, LIC's VNB margin increased to 21.2% from a considerably lower level in the previous year.

That means LIC isn't merely selling more policies. The economic profitability of the new business being written is improving. That is a substantially more important development for long-term shareholders.

Why LIC's Product Mix Is Improving

Historically, one criticism of LIC has been its heavy dependence on participating products. LIC has been deliberately increasing the contribution from higher-margin non-participating products.

Individual non-par APE increased approximately 43.8% during FY26.

The share of non-par products within Individual Business APE increased to approximately:

35.1%

compared with approximately 27.7% previously.

This product-mix transition is one of the most important components of the LIC investment thesis. If LIC can continue increasing higher-margin business without sacrificing overall growth, VNB margins can remain structurally stronger.

LIC's Massive Scale Remains A Competitive Advantage

LIC remains an extraordinary financial institution in terms of scale. Its assets under management reached approximately:

₹57.29 lakh crore

during FY26.

Scale provides LIC with several structural advantages:
  • Extremely strong brand recognition
  • Huge existing policyholder base
  • Nationwide distribution network
  • Large agency force
  • Massive investment portfolio
  • Access to customers across urban and rural India
LIC's challenge is therefore not establishing a national insurance franchise. It already possesses one. The challenge is extracting better profitability from that franchise. Recent VNB-margin improvement suggests progress is being made.

Another Positive: Distribution Is Diversifying

LIC has traditionally relied heavily on its agency network. That network remains a tremendous competitive asset, but LIC has also been increasing distribution through bancassurance and alternative channels.

During FY26, premium generated through bancassurance and alternative channels exceeded ₹5,000 crore, while the channel recorded growth exceeding 45%.

The share of these channels in Individual New Business Premium increased to approximately 7.5% from approximately 5.6%.

The base remains relatively small, but the direction is strategically positive.

Solvency Has Also Improved

LIC's solvency ratio improved from approximately:

2.11 → 2.35

A stronger solvency position provides additional comfort regarding the insurer's ability to meet regulatory capital requirements and support future business growth.

At the same time, LIC's expense ratio declined to approximately 11.91% from 12.42%.

Improving profitability together with stronger solvency and better cost efficiency is a favourable combination.

Institutional Investors Have Already Voted With Their Money

The non-retail portion of the LIC OFS attracted strong demand on the first day. Institutional demand reportedly reached approximately:

1.66× Subscription

This does not guarantee that LIC shares will rise. But it is an important data point. Large institutional investors were willing to absorb substantial LIC supply around the OFS valuation despite the sharp disruption in the secondary-market price.

We regard this as moderately positive confirmation of demand at lower valuations.

But There Are Important Risks

The investment case is not risk-free. 1. Government Ownership
Even after the OFS, the Government of India will retain approximately 90% ownership if the entire stake is sold. Government objectives and minority-shareholder objectives may not always perfectly coincide.

2. Future Supply Overhang
Additional government stake dilution could eventually occur as LIC moves toward broader minimum-public-shareholding requirements.

3. Private-Sector Competition
Private insurers continue to compete aggressively in higher-margin products and bancassurance.

4. Embedded Value Volatility
Embedded Value can be affected by financial-market movements and changes in economic assumptions.

5. OFS Does Not Guarantee Immediate Profit
The ₹382 floor price is simply the minimum permitted bid price. It is not a guaranteed allotment price, fair value or guaranteed market-price floor.

6. Short-Term Price Pressure
A large OFS dramatically increases available supply. LIC could therefore remain volatile around the OFS even if long-term fundamentals remain intact.

The ₹382 Question: Subscribe Or Buy From The Market?

This deserves particular attention. Suppose LIC's secondary-market price trades very close to ₹382. In that situation, the advantage of bidding through the OFS becomes smaller because an investor may potentially purchase shares directly from the market without facing allotment uncertainty.

Conversely, if the market price remains meaningfully above the OFS clearing price, successful OFS allotment becomes more attractive.

Therefore, investors should compare the live LIC market price with the expected OFS clearing price before submitting an aggressive bid.

🔴 Consider avoiding it if:
  • You are expecting a guaranteed quick profit.
  • You cannot tolerate a further fall after allotment.
  • You already have excessive exposure to financial or PSU stocks.
  • Your investment horizon is only a few days or weeks.
  • You are buying solely because ₹382 looks cheap compared with ₹428.50.
A discount to yesterday's price does not automatically mean a discount to intrinsic value.

After examining the transaction and LIC's latest fundamentals, we believe long-term investors can consider subscribing to the LIC OFS, subject to portfolio suitability and the final price available relative to the prevailing secondary-market price.

Our positive view is not simply because the government has offered shares at ₹382. It rests primarily on the underlying improvement in LIC's insurance economics:

✓ VNB growth exceeding 41%
✓ VNB margin improving to 21.2%
✓ Rapid growth in higher-margin non-par business

The OFS-induced fall has effectively reset LIC's market valuation lower without corresponding evidence of deterioration in these underlying operating metrics.

That creates an opportunity worth considering for patient investors.

One Important Strategy For Retail Investors

We would not treat ₹382 as a magical price below which LIC cannot fall.

Instead, investors considering LIC should think in terms of accumulation rather than attempting to identify the exact bottom.

If the OFS causes continued temporary supply pressure after completion, that could create additional opportunities for investors whose thesis is based on LIC's improving VNB economics rather than a short-term OFS trade.

Therefore: subscribe for long-term investment, but do not chase the stock purely for an immediate OFS-to-market-price arbitrage.
