Why Reliance and RPL are executing the merger?


1.Reliance and Reliance petroleum company merger was a fateaccompali as Reliance has been followig the practice of creating large capital-intensive projects under new companies to ring-fence itself from project risk. However RPL is going to be operational wef Apr 2009 and thus it is in the interests of RIL to merge RPL with it as large giants are able to survive any recession.

2. Another reason for the merger is that probably RPL is sitting on inventory losses and thus would be requiring the requisite balance sheet support from RIL.

3. However a point which will require the brain storming is fate of what treasury stock i.e. RPL shares owned by RIL. Treasury stock holders are those holders who do not have any voting rights and also do not receive any dividend. This point holds importance as RIL can not receive its own shares in exchange for the 70.3% of RPL, which RIL owns.

4. Nothing to bother as Reliance will again create some company or can execute the sale of these treasury stock to wriggle out of the situation as it is an old player.

5. Update: The merger is good for the health of Reliance but is not good for investors. Thus as a strategy one can get out of RPL and can invest in Reliance industries as this switch by an individual will be in his or her interests rather than switching being forced by RIL.

India Interim Budget 2009 and Stock Market Impact


The government in its interim budget has given the importance to infrastructure investment and it is being tried to raise the investments in Infrastructure to 9% of GDP by 2014. Interim budget did not bring any cheer for the market and last hope of increasing the income tax limits to boost spending was also dashed. Thus, those earning between Rs 1,50,001 and 3,00,000 a year will continue to pay 10 per cent income tax. The I-T rate remains 20 per cent for those earning between Rs 3,00,001 and 5,00,000 and 30 per cent on income above Rs 5,00,000. The exemption threshold for women assessees remains unchanged at Rs 1,80,000 and Rs 2,25,000 for senior citizens. However one need not lose hear as tax payers can get a tax break when full budget will be presented in the month of June 2009 post elections. The budget has also given support to agricultural sector as agriculture credit has been increased by three fold to Rs 250,000 crore. Moreover fertiliser subsidy has been increased by Rs 44,863 crore from about Rs 14,000 crore (Rs 140 billion) during 2008-09. Indian stock market is showing the signs of bearishness and thus one has to trade with caution as market can retest Nifty 2500 levels. BSE Sensex support exists at 9178-9049 and Sensex  resistance exists at 9445. NSE Nifty support exists  at 2860-2870-2810-2790-2779 and Nifty resistance exists at 2890.

2. Lalu Prasad Yadav in his Interim railway budget speech stated that the average freight has grown by 3-8% in the last five years and has claimed that the Railway has raised debt of USD 100 million at 4%.
3. A commendable effort is reduction by 2% in all class fares and the introduction of 43 new trains. Moreover he has been able to keep the freight rates unchanged.
4. However the real magic of his achievements is stealing money from the pocket of the customer from the back door and listed are the anomalies:
(a) Number of trains have been upgraded to superfast and is thus charging more money though no change in speed and facilities has been undertaken in these Express trains.
(b) Freight loading capacity of wagons has been dangerously increased without substantially catering for the safety aspects.
(c) Tatkal scheme has stolen seats from ordinary quota and an exhorbitant amount is being each seat under Tatkal quota, though the said quota meant that additional coaches would be attached. Tatkal scheme has been increased from 3 days to 5 days.
(d) Freight loading time has been reduced drastically.
5. Thus at the end of the day an average traveller is paying more at the end of day despite the visibiity that the fares have been reduced. Thus this is the magic of Lalu Prasad Yadav where without antagonising any body; he has been able to earn accolades for himself and for the nation too.

One can relax tomorrow and should avoid going aggressive.

The market is not showing a clear direction and is trading directionless. Wait and watch is the best approach to tackle this type of market and it is difficult to make money in a sideways market. If you intend, you can take a break also as you are not going to lose much by not trading. However since Nifty is above 2800 levels, thus it is showing a positive bias for the market. This positive bias is due to drop in inflation number for the week ended 24th Jan 2009 to 5.07% from 5.64% of the previous week. NSE Nifty support exists at 2749 and its resistance exists at 2901. BSE Sensex index has support at 9225 and resistance at 9400-9551. One need to watch Reliance stock as it is only holding the market. The US stock market too are happy by virtue of cheerfulness over the government forthcoming bank bailout plan and better-than-expected monthly sales from Wal-Mart Stores.

Satyam has finally got its new CEO with A S Murty being named for the top job.  A S Murty has been with company for 15 years and was currently heading the company's global delivery unit. He has tied up for Rs  600 Crore loan with a few banks. Two more appointments in form of Mr  Homi Khusrokhan, a Tata group veteran, and chartered accountant Partho Datta have been made to help the company in management and finance areas as special advisers. Satyam has also appointed Wachtell, Lipton, Rozen and Katz as its lawyers to address class-action lawsuits in the US and also said that its existing lawyers Latham & Watkins would continue to support it in its dialogue with the US market regulator SEC.

1. Rakesh Jhunjhunwala is optimistic on stock market of India and feels that the worst may be over for the Indian equity market. He further states that shares are poised to recover from their biggest annual decline because companies in the Sensex are valued at less than half their four-year average.

Rakesh Jhunjhunwala is of the view that Indians have the habit of going ahead despite all difficulties including the Mumbai Taj attack and Mumbai stock exchange attack could never hold them back in life which speaks of the spirit of the Indians. He is of the opinion that India is growing fastest among all the world economies.

3. Rakesh Jhunjhunwala has stated that “India will see the mother of all bull runs in the next 4-5 years", and same will be attributed to double-digit economic growth and increased investment by domestic investors, including pension and insurance funds.

4.The slump has left the index valued at 9.6 times the earnings of its 30 companies, compared with a four-year average of 19.2. he further stated that with uncertainty we will see. Rakesh Jhunjhunwala is right when he says that annual inflation in India will drop to less than 5% in the next two months and is also optimistic that rupee will strengthen to between Rs 44 and Rs 45 against the dollar by next 2-3 months.

5. Rakesh Jhunjhunwala has advised investors to bet in equities, commodities and emerging-market currencies, and declines in the dollar. He has advised Indians to buy India-centric sectors which will do well whether it is banking, retailing, infrastructure, all sectors that are related to India and has advised them to park funds in SBI, Bharti, and Hero Honda.

Total Income has decreased from Rs 36512.50 million for the quarter ended December 31, 2007 to Rs 15027.90 million for the quarter ended December 31, 2008.  Similarily Unitech Ltd  reported a 74.12% fall in consolidated net profit after tax to Rs 1,360.50 million for the quarter ended Dec. 31, 2008 as against Rs 5,257.80 million in quarter ended Dec. 31, 2007. The consolidated net sales fell 57.15% to Rs 4,893.9 million for quarter ended Dec. 31, 2008 as against 11,421 million for quarter ended Dec. 31, 2007.
